1. Who we are
Recurnix is a software product operated by Cerevonix FZ-LLC, a free zone company registered in the United Arab Emirates, registration number [company registration number to be inserted], registered address [registered address to be inserted]. In these terms "we", "us" and "our" mean Cerevonix FZ-LLC, and "you" means the person or company agreeing to them.
2. What these terms cover
These terms govern your use of recurnix.com, the client area at my.recurnix.com, and your purchase of a Recurnix licence. Your use of the Recurnix software itself is governed separately by the Licence Agreement, and our handling of personal data by the Privacy Policy. Where a conflict arises, the Licence Agreement governs the software and these terms govern everything else.
3. Accepting these terms
You accept these terms by creating an account, buying a licence, or downloading the software. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
4. Your account
You are responsible for keeping your client area credentials confidential and for everything done under your account. Tell us promptly if you believe your account has been compromised. We offer two-factor authentication and we recommend enabling it.
You must give accurate account information and keep it current. We may suspend an account that we reasonably believe was created with false information or is being used to breach these terms.
5. Subscription, price and payment
A Recurnix licence costs $9 per month for one production installation. The price is stated at the point of purchase and is exclusive of any taxes that apply where you are.
Your subscription renews automatically each month until you cancel it. We will tell you before any price change and it will not apply to your current paid period.
If payment fails we retry on a schedule and let you know. Your licence may move to a suspended state while payment is outstanding. As set out in the Licence Agreement, a suspended licence does not stop your installation running.
6. Cancelling
You may cancel at any time from the client area or by contacting us. Cancellation takes effect at the end of your current paid period, and you keep access until then. See the Refund and Cancellation Policy for how refunds work.
7. What we provide, and what we do not promise
We provide the website, the client area and the software as they are at the time you access them. We work hard on quality and we publish a candid changelog, but we do not warrant that the software is free of defects or that it will meet every requirement you have.
Recurnix is self-hosted. We do not host your installation, we do not run your server, we do not back up your data and we do not have access to your database. Those responsibilities are yours.
8. Availability of our own services
We aim to keep recurnix.com and the client area available, but we do not guarantee uninterrupted access and we may take them down for maintenance. Importantly, availability of our services does not affect your installation: the licence check is designed to fail open, so our downtime cannot stop you invoicing.
9. Support
Support is provided through the client area for customers with an active subscription, and through the contact form for pre-sales questions. We aim to respond within one working day. We do not provide general server administration, custom development or migration services as part of the subscription.
10. Your responsibilities
You are responsible for complying with the law where you operate, including consumer protection, invoicing, tax and data protection obligations owed to your own customers. Recurnix is a tool. It does not make you compliant by itself, and nothing in the product is legal, tax or accounting advice.
11. Intellectual property
We own Recurnix and everything on this website, other than content you supply. Buying a licence gives you the rights set out in the Licence Agreement and nothing more. Our name and logo may not be used without permission except to state factually that you use Recurnix.
12. Limitation of liability
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
Subject to that, we are not liable for loss of profit, loss of revenue, loss of data, loss of goodwill or any indirect or consequential loss, however it arises. Our total liability to you in any twelve month period is limited to the amount you paid us for the licence in that period.
Given the nature of the product, we draw your attention to this specifically: you are running billing software on your own infrastructure, and you are responsible for testing it against your own requirements and for maintaining backups.
13. Suspension and termination
We may suspend or terminate your account and licence if you materially breach these terms or the Acceptable Use Policy, or if required by law. Where it is reasonable to do so we will tell you first and give you a chance to put things right.
Termination of the subscription ends your right to updates and support. It does not, by itself, disable software already installed.
14. Changes to these terms
We may update these terms. If a change materially affects your rights we will tell you by email or in the client area before it takes effect. Continuing to use the service after that date means you accept the change. The effective date at the top of this page always reflects the current version.
15. Governing law
These terms are governed by the laws of the United Arab Emirates, and the courts of the United Arab Emirates have exclusive jurisdiction, except that we may bring proceedings to protect our intellectual property in any competent court. If you are a consumer, this does not deprive you of protections you have under the mandatory law of your own country.
