Licence Agreement

What you may and may not do with the Recurnix software once you have downloaded it.

1. The licence you are granted

When your subscription is active we grant you a non-exclusive, non-transferable, worldwide licence to install and run one production copy of Recurnix for your own business purposes.

Recurnix is licensed, not sold. We retain ownership of the software and of all intellectual property in it.

2. What counts as one installation

One production copy running on one domain. You may also run non-production copies of that same installation for staging, development or testing at no extra cost, provided they are not used to bill real customers.

If you operate several separate businesses, or provide Recurnix to a client as their billing system, each of those needs its own licence.

3. What you may do

  • Install, run and configure Recurnix on infrastructure you control.
  • Read the source code. It is delivered as readable PHP, not obfuscated or encoded.
  • Modify the source for your own use, including writing your own integrations against it.
  • Take backups, including complete copies of the application and its database.
  • Keep running your installation after your subscription ends.

4. What you may not do

  • Resell, sublicense, rent, lease or distribute Recurnix or any derivative of it, whether modified or not.
  • Publish the source code, in whole or in substantial part, publicly or to anyone without a licence.
  • Remove or obscure copyright notices, or represent the software as your own product.
  • Share your licence key with anyone outside your organisation, or use one key across separate businesses.
  • Circumvent, disable or falsify the licence check.

5. Modifications

You may modify your copy. Two practical consequences: modifications are yours to maintain, and we cannot support a modified installation beyond confirming whether an issue also occurs in an unmodified one. Updates may overwrite changes you have made to core files.

6. The licence check, and our commitment about it

Your installation periodically contacts our licence server. This transmits your licence key, a generated installation identifier, the domain the installation reports, the version you are running, and the originating IP address. It does not transmit your customers, your invoices, your revenue or any other business data.

The check fails open, and we commit to keeping it that way. If our server is unreachable, if the response cannot be verified, or if your subscription has ended, your installation continues to operate. After a grace period you will see a notice in your admin panel. There is no code path in Recurnix that stops the application because of licensing.

We consider this a term of the licence rather than a courtesy. You are running billing software. Our commercial relationship is not a reason to interrupt your invoicing.

7. Updates

While your subscription is active you may download every version we publish. Updates are provided as complete archives; applying them is your responsibility and we recommend taking a backup first.

When your subscription ends you keep the last version you downloaded and lose access to new ones.

8. Verifying what you downloaded

Every release is published with a SHA-256 checksum shown beside the download and in our public update feed. We recommend verifying it before installing. If a checksum does not match, do not install the file and tell us.

9. Third-party components

Recurnix includes open source components, each under its own licence. Those licences are included in the archive under the vendor directory and continue to apply to those components. Nothing in this agreement limits rights you have under them.

10. Warranty

The software is provided as is. To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for satisfying yourself that Recurnix suits your requirements before relying on it.

11. Liability

Our liability under this agreement is limited as set out in the Terms of Service.

12. Ending the licence

This licence ends if you materially breach it, in particular by redistributing the software or circumventing the licence check. On termination for breach you must stop using Recurnix and delete your copies.

Ordinary cancellation of your subscription is not a breach and does not terminate your right to keep running the version you have.
